SlateVM Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Elysian Edge LLC, a Nevada limited liability company operating SlateVM (“Elysian Edge,” “SlateVM,” “we,” “us,” or “our”). They govern your access to and use of the SlateVM application, website, downloads, account services, MCP adapter, networking components, guest tools, documentation, and related services (collectively, the “Services”). By downloading, installing, accessing, or using any Service, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and authority
You must be at least 13 years old and legally capable of entering this agreement. If you have not reached the age of legal majority where you live, a parent or legal guardian must agree for you. If you use the Services for a company, school, government body, or other organization, you represent that you have authority to bind it, and “you” includes that organization.
2. The SlateVM service
SlateVM is a native virtual-machine platform for Apple-silicon Macs. It manages local macOS and Linux guests through Apple's Virtualization framework and Windows 11 ARM guests through bundled QEMU accelerated by Hypervisor.framework. Features include VM creation and configuration, local consoles, networking, shared folders, diagnostics, guest tools, and structured local automation through the bundled MCP adapter.
System requirements, available features, guest compatibility, and integrations may vary with Mac hardware, macOS version, guest operating system, installation media, third-party components, entitlements, and administrator-approved services. Product pages and documentation describe the current supported experience.
3. License to use SlateVM
Subject to these Terms and any applicable order or plan, SlateVM grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the object-code version of SlateVM on Apple-silicon Macs you own or control for your personal or internal business purposes.
You may make a reasonable number of backup copies solely to support permitted use. SlateVM and its licensors retain all rights not expressly granted. The Services are licensed, not sold. Separate open-source notices or licenses govern identified third-party components and control over these Terms to the extent of a direct conflict for that component.
4. Accounts and identity providers
Some Services may offer sign-in through Apple, Google, Microsoft, or Amazon. You are responsible for maintaining the security of your provider account, devices, and credentials and for all activity authorized through them. You must provide accurate information, promptly update it when necessary, and notify support@slatevm.com if you believe access has been compromised. Identity providers are independent services governed by their own terms.
5. Your virtual machines, data, and content
You retain your rights in VM data and other content you create or place in the Services (“Your Content”). SlateVM does not acquire ownership of Your Content through these Terms. You grant SlateVM only the limited rights necessary to process Your Content at your direction and provide the Services.
You are responsible for Your Content, guest accounts, passwords, SSH keys, backups, VM security, software installed in guests, and the legality of your use. Deleting a VM can remove access to its data; maintain appropriate backups before destructive, migration, upgrade, disk, or automation operations.
6. Operating systems, media, and third-party software
SlateVM does not grant licenses to macOS, Windows, Linux distributions, applications, installation media, firmware, or other third-party content. You must obtain and comply with all applicable licenses, device limits, virtualization rights, export restrictions, and usage terms. Apple, Microsoft, Linux distributors, QEMU, SPICE, identity providers, LLM providers, and other named parties are independent and do not sponsor or endorse SlateVM unless expressly stated by them.
7. MCP and LLM automation
The bundled slatevm-mcp adapter allows compatible clients to request structured operations such as creating, starting, stopping, modifying, diagnosing, viewing, typing into, and deleting VMs; managing networking and shared folders; and running commands in a configured guest. These operations can alter or delete data, change network exposure, install privileged components, or execute guest commands.
You are responsible for selecting and configuring the LLM client, reviewing its provider terms, restricting its access, protecting information exposed through tools, and supervising consequential operations. Treat generated plans and commands as requests made on your behalf, not as guarantees. Keep backups, use least-privilege guest accounts, review confirmation prompts, and disconnect or quit SlateVM when automation access is no longer wanted.
8. Acceptable use
You may not use the Services to:
- violate law, regulation, sanctions, export controls, or another person's rights;
- access systems, accounts, networks, or data without authorization;
- develop, distribute, or operate malware, ransomware, credential theft, destructive payloads, or abusive automation;
- interfere with, overload, probe, disrupt, or bypass the security or operation of the Services or public infrastructure;
- remove ownership, copyright, trademark, or license notices;
- rent, lease, sell, sublicense, redistribute, or provide the proprietary Services as a hosted service except with our written permission;
- reverse engineer, decompile, or circumvent technical restrictions except to the limited extent applicable law expressly permits despite this restriction;
- misrepresent affiliation with SlateVM or use our marks in a way likely to cause confusion; or
- help another person do any of the above.
Security research conducted on systems you own or have explicit permission to test remains subject to law and must not affect other users or SlateVM infrastructure.
9. Networking service and administrator approval
Optional bridged, routed, or service-backed networking may require installation of a privileged service through macOS administrator approval. You represent that you have permission to install it on the Mac and connect guests to the selected networks. You are responsible for network policy, address configuration, firewalling, guest updates, service exposure, and organizational approval. You may repair or uninstall the service using supported SlateVM workflows.
10. Downloads, updates, and changes
Use official SlateVM download locations and release metadata. We may provide fixes, updates, new features, or replacement components and may change or discontinue all or part of a Service. Updates may be required for security, compatibility, or continued account access. We will use reasonable efforts to communicate material changes when practical, but we do not promise that every feature or third-party integration will remain available indefinitely.
11. Feedback
If you provide suggestions, ideas, or feedback, you grant SlateVM a worldwide, perpetual, irrevocable, royalty-free right to use, modify, commercialize, and incorporate it without restriction or compensation. This does not transfer ownership of Your Content or confidential material clearly identified and accepted by us as confidential.
12. Intellectual property
The Services, including their software, design, text, graphics, interfaces, logos, documentation, and compilation, are owned by SlateVM or its licensors and protected by intellectual-property laws. “SlateVM” and associated branding may not be used without written permission except for accurate, nominative reference. Third-party names and marks belong to their respective owners.
13. Copyright concerns
If you believe material made available through a SlateVM-operated service infringes your copyright, email copyright@slatevm.com with your contact information, identification of the copyrighted work, the location and description of the challenged material, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove material and address repeat infringement as applicable.
14. Fees, taxes, and renewals
If a paid Service is offered, pricing, billing period, included use, renewal terms, and cancellation method will be shown before purchase. You authorize the disclosed charges and are responsible for applicable taxes other than taxes on SlateVM's income. Except where law or the applicable offer provides otherwise, charges for an elapsed billing period are nonrefundable. Cancel before renewal to avoid a future recurring charge.
15. Suspension and termination
You may stop using SlateVM at any time and uninstall the application and optional networking service. We may suspend or terminate access to hosted or account Services if you materially breach these Terms, create risk or legal exposure, fail to pay applicable fees, or if continued service is prohibited or impractical. Where appropriate, we will provide notice and an opportunity to cure. Termination ends the license, but provisions that by nature should survive—including ownership, feedback, disclaimers, liability limits, indemnity, and dispute terms—remain effective.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SLATEVM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY HOST, GUEST, IMAGE, NETWORK, APPLICATION, LLM, OR THIRD-PARTY SERVICE; THAT VIRTUALIZATION OR AUTOMATION WILL PRODUCE A PARTICULAR RESULT; OR THAT ALL DATA WILL BE PRESERVED. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATEVM AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SLATEVM FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) US$100. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless SlateVM and its affiliates, personnel, licensors, and service providers from claims, damages, liabilities, judgments, costs, and reasonable legal fees arising from Your Content, your guests or automation, your violation of these Terms or law, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from SlateVM's own unlawful conduct, and it does not apply to consumers where prohibited by law.
19. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute that is not eligible for small-claims court will be brought exclusively in a state or federal court of competent jurisdiction located in Nevada, and each party consents to the personal jurisdiction of those courts. Before filing, each party agrees to send a written description of the dispute and requested resolution and allow 30 days for informal resolution. If you are a consumer, this section does not deprive you of mandatory protections or forums available under the law of your residence.
20. Export and government use
You may not export, re-export, or use the Services in violation of United States or other applicable export-control or sanctions laws. You represent that you are not prohibited from receiving the Services. The software and documentation are commercial items; government users receive only the rights provided under these Terms and applicable procurement law.
21. General terms
These Terms, the Privacy Policy, applicable open-source notices, and any purchase terms are the complete agreement about the Services. If a provision is unenforceable, it will be modified only as much as necessary and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; SlateVM may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Services. There are no third-party beneficiaries except as expressly stated. Headings are for convenience, and “including” means “including without limitation.”
22. Changes to these Terms
We may update these Terms to reflect changes in the Services, law, or business. The revised Terms will be posted here with a new date. If a change materially reduces your rights, we will provide reasonable additional notice when required. Continued use after the effective date means you accept the revised Terms; if you do not agree, stop using the Services.
